General Terms and Conditions
1. Application
These general terms and conditions apply to all services provided at any time by Wellstep AB, org.no 559322-5187 (“Wellstep”). These general terms and conditions supplement the provisions set out in the order confirmation. WellChallenge is owned and operated by Wellstep AB.
In the event of any discrepancy between the provisions of the order confirmation and those of the General Terms and Conditions, the order confirmation shall prevail.
2. Services
WellChallenge offers walking competitions and activity challenges for companies that wish to motivate their employees to increase their physical activity and improve their health. The services are provided through the website www.wellchallenge.io and via the WellChallenge mobile application.
The step challenge is a traditional approach to a fitness activity. WellChallenge step challenge is simple and flexible, where participants record the number of steps they take throughout the day using their pedometer (in their pocket or via an app). Moreover, other types of activities such as cycling, weight training and floorball can be converted into steps to be credited to the walking competition.
The 30 Minutes Challenge is a competition in which all participants are motivated to do physical activity for at least 30 minutes each day. The activity type is less important, what matters is that you do some physical activity. Each activity scores 1 point per minute and many companies decide to award prizes to participants who meet the 30-minute target, whether for the whole competition and/or for each week.
The Let’s Move challenge is a competition focused on daily team challenges. In the same way as the 30 Minutes Challenge participants enter their activities into the challenge which scores 1 point per minute, but also compete together with the team to achive daily team challenges which could be collect a number of points or that everyone in the team should get at least 30 minutes of activity.
WellChallenge also offers a competition subscription. The subscription allows for an unlimited number of challenges for one year, starting from the start date of the first competition. The subscription can be cancelled at any time and is not automatically renewed after one year.
3. Ordering and confirmation
The services can be ordered directly from the WellChallenge website by filling in a form (https://www.wellchallenge.io/order/) or by email. Once WellChallenge receives an order, an order confirmation will be sent to the Customer. The Customer chooses the time for his/her competition and the competition may continue for a maximum of 90 days.
4. Access to services
In order for participants to access the service, WellChallenge needs their name, e-mail address and team division (for team competitions). This can be obtained in several ways, but the most common is for the customer’s contact person to provide us with an excel list via email. We then add all participants (at no extra cost) and send out emails to all participants with login details and instructions a few days before the competition starts. It is the customer’s responsibility to ensure that the information provided to WellChallenge is accurate and up to date.
Alternatively, WellChallenge can create a registration form so that participants can register themselves and enter their details. The registration page can be accessed through e.g. www.wellchallenge.io/companyname. Registration can either be set up so that each participant registers, but more commonly one person in the team registers everyone in their team. Setting up a registration page is not included in the price per user, this is an add-on cost.
5. Conducting the competition
During the competition, participants can choose to either log their steps/activities manually from any pedometer/app and calculate them via the wellchallenge.io website or by using the WellChallenge app to log them.
Our 30 Minutes Challenge and Let’s Move challenge does not require any tools, as time and activity are recorded on wellchallenge.io or in the WellChallenge app.
6. Monitoring
WellChallenge’s system allows participants to easily track their progress. Each participant has a personal page displaying their company/organisation’s competition. There, participants can see how many steps/activities or how many points have been earned in the activity challenge as well as individual and team scores. The step challenge also includes a map of the distance they have covered during the competition, the milestones passed and their next milestone.
7. Price and terms of payment
The price for the relevant order is specified in the order confirmation. Prices are exclusive of VAT unless otherwise stated in the order confirmation.
Once the competition has started, WellChallenge will send an invoice for the entry fee and the participation fee based on the number of participants. Terms of payment are 30 days from the date of invoice unless otherwise agreed.
When you purchase a subscription, the competition administrator can easily replace and add new participants throughout the year. The number of licenses for active participants is counted quarterly and any additional licenses are invoiced for. At the launch of the subscription, we set up all participants and send out login emails. If you would like assistance in doing this for the next competition, there will be an additional fee which will be communicated before setting up the new challenge.
Payment must be received by WellChallenge no later than the due date stated on the applicable invoice. Should payment of compensation be delayed, WellChallenge reserves the right to charge a penalty interest following § 6 of the Swedish Interest Act and to demand compensation for reminders and collection charges. If payment is not received within the specified time, WellChallenge also has the right to cancel the ongoing competition until payment has been received.
8. Cancellation and rebooking terms
The Client has the right to cancel a competition free of charge before it has been added to the WellChallenge system. If the competition has already been registered, the start date and the payment may be postponed. If the Client chooses to cancel the competition completely at this stage, the entry fee will be invoiced.
9. Support
Contestants who have questions during the contest period may contact WellChallenge support via email at: support@wellchallenge.io. Support queries will normally be answered within 24 hours during office hours.
10. Failure and interruption of services
Failure and interruption of the Service are defined as the Customer not being able to use the Service under the Agreement. Failure does not include failures or defects that do not prevent the Customer from using the Service or are mere of minor importance to the Customer. WellChallenge will make every effort to monitor the delivery of our Services and prevent any problems. However, any errors or shortcomings must always be reported to our customer service. WellChallenge shall resolve any failure within a reasonable time after notification of the failure.
11. Subcontracting
WellChallenge has the right to subcontract the performance of its obligations under the Agreement if necessary.
12. Duration of the contract
These conditions shall apply once the customer’s order has been confirmed by WellChallenge until the competition that was ordered has been completed and full payment has been received.
13. Intellectual property rights
WellChallenge holds all rights, including trademark, copyright and other intellectual property rights to the Service. Clients are not permitted to copy, modify, distribute or disseminate information and content from the Service to the public via the Internet or otherwise.
14. Processing of personal data
In connection with the provision of services under this Agreement, WellChallenge processes personal data on behalf of the Client. In such cases, Wellstep is the data processor and the Client is the data controller. Wellstep undertakes to comply with the provisions of applicable data protection law and to process the personal data only fulfil its obligations under this Agreement and following our Privacy Policy.
Wellstep shall, at the request of the Client, sign a specific data processor agreement.
15. Force Majeure
If the party, or its subcontractor, fails to perform the Agreement as a result of an event beyond its control (including, but not limited to, strike, fire, flood, extreme weather, natural disaster, war, insurrection, vandalism, sabotage, riot or terrorism) and which could not reasonably have been foreseen at the time of the conclusion of the Agreement, the party is released from its obligation to fulfill the Agreement. Performance under the Agreement shall resume once the ground for exemption ceases. Should performance be suspended under this paragraph for more than six months, either Party may terminate the Agreement with immediate effect.
Any party who wishes to claim ground for exemption following the above shall notify the other party in writing immediately.
16. Amendments
Any amendments to the Agreement must be made in writing and approved by both Parties to be effective.
17. Applicable law and disputes
This Agreement is governed by Swedish law. Disputes arising out of this Agreement are matters of court procedure.
